These Terms of Service ("Terms") govern your access to and use of the MyVyay platform, including the website at www.myvyay.com, the mobile and web applications, and any related APIs or services (collectively, the "Service") provided by MyVyay Technologies Pvt. Ltd. ("MyVyay", "we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Definitions
- "Customer" — means the organisation that has entered into a subscription agreement with MyVyay and on whose behalf you access the Service.
- "User" or "you" — means any individual (employee, manager, approver, administrator, or guest) who uses the Service under a Customer's account.
- "Customer Data" — means any data, content, or information submitted to or processed by the Service by or on behalf of a Customer or its Users.
- "Subscription Agreement" — means the master services agreement, order form, or online subscription accepted between MyVyay and the Customer.
2. Eligibility and Account
The Service is a business application intended for users aged 18 or older who are authorised to act on behalf of a Customer. You represent that you have the legal capacity to accept these Terms and that any information you provide is accurate and current.
Your Customer is responsible for issuing, managing, and revoking User accounts. You must keep your login credentials, OTP, passcode, and SSO tokens confidential, and you are responsible for all activity under your account. Notify MyVyay and your Customer administrator immediately of any unauthorised access or security incident.
3. Scope of the Service
MyVyay provides the following core capabilities, subject to the Customer's subscription:
- Travel & Expense ("T&E") management, including claims, approvals, and reimbursements.
- Petty-cash management, advances, settlements, and reconciliation.
- Accounts Payable automation, vendor invoicing, and procure-to-pay workflows.
- AI-assisted receipt OCR, voice input, and spend analytics.
- Integrations with ERP, HRMS, card, and payment systems.
Features, limits, retention periods, and support levels are defined by your Customer's Subscription Agreement. Some features may be offered as previews or beta and are provided "as is" without service-level commitments.
4. Acceptable Use
You agree that you will not:
- Use the Service for any unlawful, fraudulent, or abusive purpose.
- Upload false, misleading, or fraudulent receipts, invoices, or expense claims.
- Circumvent your employer's policies, approval workflows, or spending limits.
- Attempt to access data, accounts, or systems that do not belong to you.
- Reverse-engineer, decompile, scrape, or otherwise extract source code or non-public data from the Service.
- Upload malware, viruses, or content that infringes third-party rights.
- Interfere with or disrupt the integrity, performance, or security of the Service.
- Use automated systems (bots, scripts, crawlers) to access the Service except through our published APIs and within published rate limits.
- Resell, sublicense, or make the Service available to any third party outside your Customer's organisation.
We may suspend or terminate your access without notice if we reasonably believe you have violated these Terms or that such action is necessary to protect the Service, our Customers, or any person.
5. Customer Data and Licence
As between you and your Customer, Customer Data is owned and controlled by the Customer. As between MyVyay and the Customer, the Subscription Agreement governs ownership, use, and licensing of Customer Data.
You grant MyVyay a limited, non-exclusive, worldwide licence to host, process, transmit, display, and otherwise use the content you submit solely for the purposes of providing, securing, and improving the Service, complying with law, and as permitted by the Subscription Agreement and our Privacy Policy.
6. Intellectual Property
The Service, including its software, design, text, graphics, logos, and all associated intellectual property rights, is owned by MyVyay or its licensors and is protected by Indian and international copyright, trademark, and other laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you.
"MyVyay" and the MyVyay logo are trademarks of MyVyay Technologies Pvt. Ltd. You may not use them without our prior written consent.
7. Third-Party Services and Integrations
The Service may include or integrate with third-party products (e.g., ERPs, payment providers, travel vendors, AI/OCR providers, SSO). Your use of such third-party services is subject to their own terms and privacy policies. MyVyay is not responsible for the availability, accuracy, or conduct of any third-party service.
8. AI-Assisted Features
The Service uses AI models (including third-party large-language and OCR models) to extract data from receipts, generate spend insights, and assist with compliance. AI outputs may be inaccurate or incomplete. Every expense is subject to human review by your Customer's approvers before reimbursement. You are responsible for verifying the accuracy of information before submission and approval.
9. Fees, Billing, and Taxes
Subscription fees, billing cycles, and payment terms are set in the Customer's Subscription Agreement. Individual Users do not owe subscription fees to MyVyay directly. All fees are exclusive of applicable taxes, which are the Customer's responsibility. Fees are non-refundable except as expressly stated in the Subscription Agreement.
10. Service Availability and Changes
We strive to provide a reliable Service but do not guarantee uninterrupted availability. Scheduled maintenance, emergency fixes, or events outside our reasonable control may cause downtime. We may modify, enhance, or discontinue features from time to time. Material changes affecting Customers will be communicated in accordance with the Subscription Agreement.
11. Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information (but no less than reasonable care), and to use such information only as necessary to perform its obligations under these Terms or the Subscription Agreement.
12. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, MyVyay disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. MyVyay does not warrant that the Service will meet your requirements or that defects will be corrected.
13. Limitation of Liability
To the maximum extent permitted by law, in no event will MyVyay, its affiliates, officers, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of the Service.
MyVyay's total aggregate liability to any User under or in connection with these Terms will not exceed the amount paid by the Customer to MyVyay for the Service in the twelve (12) months preceding the event giving rise to the claim, or ₹10,000 (whichever is greater).
14. Indemnification
You agree to defend, indemnify, and hold harmless MyVyay, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your violation of these Terms or applicable law;
- your misuse of the Service;
- any fraudulent expense claim or content you submit; or
- your infringement of any third-party right.
15. Suspension and Termination
Your access to the Service depends on your Customer's active subscription and your continuing authorisation by that Customer. Your Customer may suspend or terminate your account at any time. MyVyay may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, our policies, or applicable law, or if continued access poses a security or legal risk.
On termination, your right to use the Service ends. Sections that by their nature should survive (including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules. Subject to Section 17, the courts of Pune, Maharashtra, India will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
17. Dispute Resolution
Before filing a formal claim, you agree to first contact us in good faith to seek resolution. Any dispute not resolved within 30 days of written notice will be referred to arbitration in Pune, India, under the Arbitration and Conciliation Act, 1996. The arbitration will be conducted in English by a sole arbitrator. Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.
18. Force Majeure
Neither party will be liable for any failure or delay in performance due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labour disputes, pandemics, government action, power failures, internet or telecommunications outages, or third-party service disruptions.
19. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by in-app notice, email, or by updating the "Last Updated" date at the top of these Terms. Your continued use of the Service after the effective date of the change constitutes acceptance of the updated Terms.
20. Miscellaneous
- Entire agreement — These Terms, the Subscription Agreement, and our Privacy Policy constitute the entire agreement between you and MyVyay regarding the Service, superseding any prior agreements on that subject.
- Severability — If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- No waiver — Our failure to enforce any right or provision will not constitute a waiver of such right or provision.
- Assignment — You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Relationship — Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and MyVyay.
- Notices — Notices to MyVyay must be sent to the address in Section 21. Notices to you will be sent to the email associated with your account or displayed in the Service.
